Contractual Membership Agreement

I hereby acknowledge that by checking out, purchasing, entering my credit card number and information here on the C2 Shooting Center website https://c2shootingcenter.com that I have selected and accepted one of the following memberships shown in the shopping cart at checkout.
This e-contract is an agreement created and "signed" in electronic form—no paper is used.
This C2 Shooting Center Membership e-contract is a "click to agree" contract. I, the buyer and guarantor hereby agree to all terms and conditions by selecting the "I Agree" button here on the C2 Shooting Center website.

**Memberships require payment of an annual membership fee.
***Memberships are not transferrable.
Buyer Gives Authorization:
I (we), the undersigned hereby authorize C2 Shooting Center and/or it’s approved financial institution to initiate debit entries to my (our) checking account and / or credit card as selected within this agreement. This is to include a $21.00 redeposit fee for bank or credit card payments returned or declined. I (we) truthfully acknowledge the origination of the EFT, draft or debit transaction to my (our) account must comply with the provisions of U.S. law. This authorization is to remain in full force and effect until said Company has received a signed written notification with a thirty-day notice as to any such changes with banking information or credit card information changes. This written notification must be sent to C2 Shooting Center 6025 Marvin Road Virginia Beach, VA 23457.
Agreement Note:
I understand that by signing this Agreement I have signed an enforceable contract/note. I, the buyer and Guarantor, hereby acknowledge and agree to the terms of this Agreement and will not contact Provider in any manner as to coerce the cancellation of this contract. I understand that except as herein provided, this agreement is absolutely non-cancelable. Should I default, I agree to pay all costs of collection, including but not limited to collection agency fees up to 50% of the unpaid balance, court costs, and attorney’s fees of 33 1/3% of the amount due when turned over for collection. Provider will manage the purchased service in a professional time frame based on the buyer(s) supplying the appropriate information. Guarantor understands that the Terms of Service are subject to change at Provider’s discretion. Provider will provide appropriate notice of changes in a timely manner to Guarantor.
Governing Law/Exclusive Venue:
This contract shall be governed and construed in accordance with the laws of Virginia. Excluding that state’s choice -of- law principles, and all claims relating to or arising out of this contract, or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed by the laws of Virginia. Exclusive venue of any claim made by the Buyer or Provider against the other or any third party in which either Buyer or Provider are a necessary party shall be brought in the City of Virginia Beach, Virginia.
Personal Guarantee:
In consideration of C2 Shooting Center, extending credit to Buyer(s), we individually, jointly and severally do hereby personally and unconditionally guarantee to C2 Shooting Center the payment of indebtedness of the Buyer(s), including any and all costs of collection, including collection agency fees and reasonable attorney's fees of 25% of the unpaid balance. The undersigned waives notice of acceptance of this guarantee by C2 Shooting Center and notice of default or of non-payment on any of the liabilities. The use of any titles shall in no way be deemed to limit the personal guaranty. Any change in ownership interest or relationship of Guarantor to Buyer(s) shall not relieve Guarantor of obligations under this personal guarantee unless prior written notice is provided to C2 Shooting Center. This Guarantee shall be a continuing guarantee and shall remain in effect subject to discontinuance as to any of the undersigned only upon actual receipt by C2 Shooting Center of 30-days written notice from undersigned, provided no such notice of discontinuance shall impair or effect any of the agreements or obligations incurred with respect to any and all liabilities existing prior to the time of such actual receipt by C2 Shooting Center of such discontinuance notice.
Cancellation Policy:
All contractual agreements are non-refundable. This contractual agreement may be canceled in one of two ways: 1) the Provider may cancel/revoke this contract due to Guarantor’s failure to adhere to the Range Rules and Safety procedures as outlined in the document provided to Guarantor upon purchase of membership, and 2) the Guarantor may cancel for any reason prior to the “Auto Renewal” with written notification. Written notice shall be sent to C2 Shooting Center 6025 Marvin Road Virginia Beach, VA 23457. Military Deployments will be handled individually with management.
Agreement and Terms of Service (TOS):
The Buyer(s) and do hereby promise to make all payments to C2 Shooting Center in the same manner as if they were the principals of said Agreement. And furthermore, the Guarantors do hereby authorize and empower any attorney of any court of record of the state of Virginia or elsewhere to appear for and to enter judgment against the business, buyer and or Guarantor, in favor of C2 Shooting Center, Inc. and with thirty-three and one-third percent (33 1/3%) as a reasonable attorney's fee, and the Guarantors hereby waive and release all benefit and relief from any and all appraisement, stay or exemption laws of any state now in force or hereafter to be passed.
WAIVER AND RELEASE OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT:
In consideration of permitting the person(s) signing below, to use the C2 Shooting Center Facility located in the City of Virginia Beach, Virginia (the “Facility”), to enroll in a Personal Defense/Handgun Safety Instructional Course and/or to participate in any training course of instruction or Range firing activities and related operations conducted by, through or at the Facility (collectively, the “Activities”), each person signing below (including any minor and such minor’s parent or guardian), for himself/herself, his/her personal representatives, heirs and next of kin, hereby acknowledges and agrees as follows:
1. That I have read, understood and agreed to abide by the C2 Shooting Center Range Operation/Safety Rules provided to me prior to participation in any of the Activities.
2. That firearm-related activities (including the Activities) are potentially dangerous and involve the risk of serious injury and/or death and/or property damage.
I further acknowledge that the instructional materials covered and or presented by C2 Shooting Center contain only general guidelines and fundamentals presented purposely to provide quality training in the safe handling and proper use of firearms and to promote a safe environment at the Facility.
3. That firearm ammunition (including factory new, non-factory and reloaded) and firearms use, may be hazardous in nature and may cause substantial injury to persons and property. I AGREE TO ASSUME ALL RISK OF DEATH OR INJURY TO MY PERSON AND PROPERTY RESULTING FROM OR IN ANY MANNER ARISING OUT OF PARTICIPATION AND/OR INSTRUCTION PROVIDED IN ANY OF THE ACTIVITIES. I hereby waive all rights to make or bring any claim, demand, action, cause of action or lawsuit against the Facility, C2 Shooting Center, Inc., its officers, directors, shareholders and employees (including Range Officers), and the owner(s) of the land on which the Facility is located, their respective officers, directors, shareholders and employees, regardless of whether any representations have been made regarding suitability of any type of ammunition for any particular firearm or purpose.
4. I HEREBY RELEASE, WAIVE, DISCHARGE AND AGREE NOT TO SUE C2 SHOOTING CENTER, INC., ITS OFFICERS, DIRECTORS, SHAREHOLDERS, INSTRUCTORS, RANGE OFFICERS, EMPLOYEES AND AGENTS, AND/OR THE OWNER(S) OF THE LAND ON WHICH THE FACILITY IS LOCATED, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS AND EMPLOYEES (COLLECTIVELY, THE “RELEASEES”), FOR AND/OR FROM ANY AND ALL LOSSES OR DAMAGES, AND ANY CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION AND LAWSUITS AGAINST THE RELEASEES, OR ANY OF THEM, RESULTING FROM OR IN ANY MANNER ARISING OUT OF OR ON ACCOUNT OF MY PARTICIPATION AND/OR INSTRUCTION IN THE ACTIVITIES OR MY PRESENCE AT THE FACILITY, WHETHER CAUSED BY THE RELEASEES, OTHER USERS OF THE FACILITY, OTHER PARTICIPANTS IN THE ACTIVITIES OR OTHERWISE, WHETHER FORESEEN OR UNFORESEEN, KNOWN OR UNKNOWN, AND HOWEVER CAUSED, INCLUDING, BUT NOT LIMITED TO, DEATH OR INJURY TO MY PERSON OR PROPERTY (COLLECTIVELY, “CLAIMS”).
5. I HEREBY AGREE TO INDEMNIFY AND HOLD HARMLESS THE RELEASEES FROM ANY AND ALL LOSSES, LIABILITIES, DAMAGES OR COSTS, INCLUDING COURT COSTS AND ATTORNEY’S FEES, THAT RELEASEES, OR ANY OF THEM, MAY INCUR, NOW AND FOREVER, RESULTING FROM OR IN ANY MANNER ARISING OUT OF ANY AND ALL CLAIMS.
6. The provisions of this Agreement shall survive the expiration or termination of my participation in the Activities and the expiration or termination of my Annual Range Member Pass or hourly use of the Range, as applicable.
7. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.
8. This Agreement may not be modified or amended except in writing signed by the undersigned and C2 Shooting Center, Inc.
9. The undersigned (a) acknowledge(s) that C2 Shooting Center intends to store a copy of this Agreement electronically, (b) agree(s) that a facsimile or scanned electronic copy of this Agreement or printed copy thereof from an electronic storage system used by C2 Shooting Center and showing the signature(s) set forth below will be deemed to constitute an originally signed copy of this same Agreement and shall be enforceable to the same extent as the originally signed copy of this Agreement, and (c) in connection with any proceeding to enforce, defend or interpret this Agreement, waives (i) all objections to the inability of C2 Shooting Center to produce the originally signed copy of this Agreement and (ii) any requirement to produce the originally signed copy of this Agreement.
I Promise to Pay to the Order of C2 Shooting Center and/or its Assigns the Total Above Written Sum.
Should default be made in any monthly installments or fees, the entire remaining sum due herein shall be due and payable at the option of the owner of this note and shall bear interest on the principal amount due at the rate of 9% per annum from date of default. If any installment, is more than ten (10) days past due, a late charge of $25.00 or 5%, whichever is greater may be assessed. The undersigned personally charge their separate estates with the payment of this contractual note. This contractual agreement is non-cancelable. I understand that any such payment that is in default may constitute the URL to be placed in an off line mode until payments are brought current.
Acknowledgement:
I the Buyer(s) hereby acknowledge and agree to these terms set forth herein and agree that the Terms of Service (TOS) and Private Policy have been fully reviewed. This C2 Shooting Center Monthly Payment Annual Membership e-contract is a "click to agree" contract. I, the buyer and guarantor hereby agree to all terms and conditions by selecting the "I agree" button here on the C2 Shooting Center website while purchasing one or more C2 Membership agreements.
